Welcome to the Brandhype website. These Terms and Conditions, together with our Privacy Policy, govern your use of this website and your relationship with Brandhype. By browsing or using this website, or by communicating with us by email, you agree to comply with and be bound by these terms, in addition to any terms separately agreed with you. If you do not agree to these terms, please do not use this website, download any materials from it, or make any payment to Brandhype.
In these terms, “Brandhype”, “us”, “we” or “our” refers to the owner and operator of this website, with its offices at New Delhi, Gurgaon, Canada and USA.. “You” or “your” refers to the user or viewer of this website, or to the client who engages our services.
We may revise these terms at any time by updating this page. Please check this page from time to time, because your continued use of the website means that you accept the current terms.
2. Eligibility
By using this website or engaging our services, you confirm that you are at least 18 years of age and able to enter into a legally binding contract under the Indian Contract Act, 1872. If you use this website on behalf of a business or organisation, you confirm that you have the authority to bind that business or organisation to these terms.

13. Changes to the website and these terms
Brandhype reserves the right, at its sole discretion, to change, add to, or remove any part of these terms at any time. Any change takes effect when it is posted on this page, and your continued use of the website means that you accept the change. We may also change, suspend or withdraw any part of the website, including any feature, at any time. We may place limits on certain features, or restrict your access to part or all of the website, without notice or liability.
14. Governing law and jurisdiction
This website is controlled and operated by Brandhype from its office in India. We make no representation that the materials on this website are appropriate or available for use in other locations. If you access this website from outside India, you are responsible for complying with your local laws, and you must not use the website or export any materials in breach of any applicable export laws.
These terms are governed by the laws of India. You agree that the courts of New Delhi, India have exclusive jurisdiction over any dispute arising from these terms or from your use of this website.
15. General
These terms, together with any separate written agreement or proposal between you and Brandhype, form the entire agreement between you and Brandhype in relation to your use of this website. Where we use words such as partner, partnership or joint venture in our communications, those words describe working relationships and do not necessarily indicate a precise legal relationship. Any claim relating to your use of this website must be brought within one (1) year after the cause of action arises. If any part of these terms is found to be unenforceable, that part will be applied as far as possible to reflect its intent, and the remaining terms will continue in full force.
Client engagement terms
The following terms apply once you agree to work with Brandhype, in addition to any separate proposal or statement of work agreed with you.
16. Fees, payment and taxes
- Fees are payable to the accounts team of Brandhype. We will be pleased to begin your project promptly once we receive your acceptance of our proposal, the information we request, and the applicable professional fees.
- Service fees are payable quarterly in advance, unless otherwise agreed upon during deal closure.
- All fees are exclusive of applicable taxes and government levies. Such taxes and levies are payable by the client, and all applicable taxes will be charged as per actuals.
- If any fee payable by the client is subject to tax deducted at source (TDS), the client must provide the TDS certificate to Brandhype at the time of payment.
- If a payment is overdue and collection becomes necessary, the client agrees to pay any legal or third-party costs incurred, along with a late payment charge of interest at 1.5% per month, compounded, on the outstanding amount.
- Payment may be made by bank transfer (NEFT, RTGS or IMPS), UPI, or any other method agreed in writing.
17. Scope of work and additional work
The proposal or statement of work agreed with you sets out the services to be provided. Any additional work that is not specified in the proposal will be estimated separately, or will require an amendment to the proposal.
18. Client materials and content
The client is responsible for providing all text, images and other content required for the project. The client gives an unconditional assurance that all text, graphics, photographs, designs, trade marks, source code and other materials supplied to Brandhype are owned by the client, or that the client has permission from the rightful owner to use them. The client agrees to hold harmless and defend Brandhype against any claim arising from the use of materials supplied by the client.
If the client does not provide images, the client authorises Brandhype to source suitable images, and we will make every effort to use royalty-free images. Once a project is delivered, it is the responsibility of the client to check the work and confirm that nothing in it infringes any third-party right. If the client identifies any such issue, the client must inform Brandhype promptly so that it can be changed. After delivery, Brandhype does not accept responsibility for any copyright or trade mark infringement, or for any related liability. We recommend that the client provides all content at the start of the project to avoid any such issue.
19. Ownership of work
Brandhype retains the copyright and ownership of the source code and design of all files it produces during a project. On receipt of the final payment for the project, the rights and ownership of that source code and design will be transferred to the client.
20. Non-solicitation of employees
During the period in which Brandhype provides services, and for twenty-four (24) months afterwards, neither party will solicit or induce an employee of the other party to leave their employment, or hire an employee of the other party, without the prior written approval of the other party. In this section, “employee” means a current employee, or a person employed before the relevant project.
21. Assignment
Neither this agreement, nor any right or licence under it, may be assigned, delegated or subcontracted by either party without the written consent of the other party, except that:
- a party may assign and transfer this agreement, and its rights and obligations, to a third party that succeeds to substantially all of its business and assets, or assign any right to receive payment; and
- Brandhype may subcontract its obligations to a wholly owned subsidiary, or to a third-party service provider, provided that Brandhype remains primarily liable to the client, including for the acts and omissions of any such provider.
The client may not assign or transfer this agreement to a direct competitor of Brandhype.
22. Limitation of liability for services
Brandhype will not be liable to the client or any third party for any loss or damage, including any loss of profit, business or savings, or any incidental, consequential or special damage, arising from the operation of, or the inability to operate, any application or service. In any legal proceeding, the total amount payable by Brandhype will not exceed the amount paid by the client for the relevant work.
23. Cancellation and refunds
Either party may terminate this contract by providing 30 days’ written notice. If the client ends a project during the course of development, the initial advance is non-refundable. Please also see our Cancellation Policy.
